Introduction

This Terms of Service Agreement (the "Agreement") is entered into by and between Blumenthal Research Global LLC, a limited liability company operating under the trade name "Advanced Research," with its principal place of business in the State of Oklahoma ("Company," "we," "us," or "our"), and you, the Client, User, or Entity accessing or utilizing our Services ("you," "your," or "Client").

BY ACCESSING, PURCHASING, OR ENGAGING WITH ANY OF OUR SERVICES, SOFTWARE SYSTEMS, STRATEGIC TOOLS, OR DIGITAL PRODUCTS, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THE TERMS SET FORTH HEREIN. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF OUR SERVICES.

Definitions

2.1 "Services"

Refers to all offerings provided by Advanced Research, including but not limited to: Paid digital advertising, AI-powered marketing systems, website development and hosting, SEO and PPC services, lead generation, automation integrations, video and media production, and custom software deployments.

2.2 "Client Data"

Refers to any personal, business, technical, or analytical data provided by the Client or obtained through service implementation.

2.3 "Proprietary Data" or "Generated Data"

Refers to any data, reports, models, forecasts, AI outputs, or analytics created by our systems. Unless agreed otherwise in writing, all such data is exclusively owned by Advanced Research.

Service Scope and Nature of Results

3.1 No Guarantee of Results

All projections, metrics, or performance expectations are estimates only. Advanced Research makes no guarantee or warranty regarding the success, ROI, or effectiveness of any service.

3.2 Experimental Nature of AI Systems

Client acknowledges the inherent variability and experimental operation of artificial intelligence, machine learning, and automation tools deployed by Advanced Research.

3.3 Strategic Guidance Is Non-Binding

All recommendations, creative decisions, or marketing strategies shared are advisory in nature and not binding representations of likely outcomes.

Client Responsibilities

4.1 Accurate Information

Client must provide timely, complete, and accurate data and information required for successful service execution.

4.2 Legal Compliance

Client is solely responsible for complying with all local, state, federal, and international laws applicable to their business and the marketing activities we perform on their behalf.

4.3 Platform Access

Client shall provide required access to systems such as Meta Business Suite, Google Ads, CRM platforms, and hosting accounts as needed.

Data Ownership

5.1 Ownership of Generated Data

Unless otherwise specified in writing, all data collected, interpreted, or produced through service execution is owned exclusively by Advanced Research.

5.2 Usage of Client Data

Client grants Advanced Research a global, royalty-free license to use Client Data for the purpose of service delivery and internal optimization.

5.3 Retention and Deletion

Unless specified by law, we may retain data indefinitely. Requests for deletion must be submitted in writing.

Third-Party Tools and Platforms

6.1 Dependency on External Services

Services often rely on third-party platforms (e.g., Meta, Google, Zapier, CRMs). We are not liable for outages or changes within those ecosystems.

6.2 Compliance With External Terms

Client agrees to abide by the terms and policies of any third-party platforms integrated into their marketing campaigns.

Termination

7.1 By Advanced Research

We may terminate services without notice if the Client breaches terms, fails to pay, or engages in unlawful behavior.

7.2 By Client

Client may terminate by providing a 30-day written notice. Services and deliverables will cease upon termination, and remaining balances are due.

7.3 Survival

Certain clauses, including confidentiality, limitations, and intellectual property rights, shall survive any termination.

Limitation of Liability

8.1 Cap on Liability

Our total liability shall not exceed the fees paid by Client in the 30 days prior to a claim.

8.2 Indirect Damages Waived

We are not liable for lost profits, data loss, reputational damage, or indirect damages of any kind.

Indemnification

Client agrees to indemnify and hold harmless Advanced Research against all claims arising from misuse of services, unlawful activity, or breach of these Terms.

Confidentiality

10.1 Protection of Shared Information

Each party agrees not to disclose the other's confidential or proprietary information.

10.2 Required Disclosures

Disclosure may be made if legally compelled, provided prior notice is given when possible.

Intellectual Property

11.1 Company IP

All materials, campaigns, content, and systems developed by Advanced Research are our exclusive intellectual property unless explicitly transferred.

11.2 Limited License

Client is granted a limited, non-exclusive license to use deliverables strictly for internal purposes.

AI System Autonomy

12.1 Unpredictability of Results

AI tools are probabilistic and may yield unexpected outcomes. We make no warranty as to the correctness of AI outputs.

12.2 Human Review Required

Client agrees to review outputs before use in critical or public-facing materials.

Client Cooperation

Client must provide assets, logins, feedback, approvals, and compliance documentation promptly. Delays may impact performance.

Support & Response Times

14.1 Standard Support

Support is offered during business hours with a 24-hour response window. Urgent issues may be escalated as necessary.

14.2 Paid Support Tiers

Premium SLAs are available through upgraded support packages.

Payment Terms

15.1 Due Upon Invoice

All payments are due upon receipt unless otherwise stated.

15.2 Late Payments

Late fees apply after 5 days at 2.5% per week. Service suspension may occur.

15.3 Refund Policy

All payments are final and non-refundable unless contractually stated.

Feedback & Testimonials

Client grants permission for use of written or recorded testimonials and campaign results in case studies or marketing unless revoked in writing.

Modification of Terms

These Terms may be modified at any time with notice. Continued service use signifies acceptance of any updates.

Entire Agreement

This document represents the full agreement and supersedes all previous agreements, oral or written.

Governing Law & Dispute Resolution

19.1 Jurisdiction

These Terms are governed by the laws of the State of Oklahoma.

19.2 Arbitration

All disputes shall be resolved by binding arbitration in Oklahoma County, Oklahoma, under AAA rules.
